Terms of Service

These Terms & Conditions ("Terms") are a binding agreement between you and Karla F Trujillo, an individual trading as Lets Talk IEP ("we", "us", "our"), governing your use of Let's Talk IEP (also offered under the name My IEP Companion) and related services.

These Terms apply to all versions of the service, including the Let's Talk IEP website, the Let's Talk IEP web application, the Let's Talk IEP Android application, and the Let's Talk IEP iOS application (collectively, the "Service"). The same Terms apply no matter which platform you use.

1. Acceptance of these Terms

By creating an account or continuing to use the Service, you agree to these Terms. If you do not agree, do not use the Service. You confirm you are of legal age in your jurisdiction and, if using the Service on behalf of an organization, that you have authority to bind it.

2. The Service

Let's Talk IEP (also presented as My IEP Companion) is a tool that helps parents and caregivers organize information related to their child's Individualized Education Program (IEP), including documents, notes, concerns, meeting preparation, communications, and reminders. The Service is an organizational aid only and is not legal, medical, educational, or therapeutic advice.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and keep it current.

The Service — including its software, design, branding (including the "Let's Talk IEP" and "My IEP Companion" names and logos), and documentation — is owned by Karla F Trujillo and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use the Service for personal, non-commercial purposes within your active subscription or free trial.

6. Your content and ownership of uploaded records

You retain full ownership of all documents, educational records, notes, and other content you upload to the Service ("Your Content"). This includes IEPs, evaluations, eligibility reports, progress reports, report cards, meeting notices, letters, and any other files you choose to store.

We do not claim ownership of Your Content. We do not sell it, rent it, or use it to train AI models. You grant us only a limited, revocable license to host, store, transmit, display back to you, and process Your Content for the sole purpose of providing the Service to you and the features you request (such as organization, reminders, or AI-assisted summaries you invoke). This license ends when you delete the content or close your account, subject to reasonable backup retention windows described in our Privacy Policy.

7. Subscriptions, renewals, and refunds

The Service is offered on a subscription basis. New users may start with a 7-day free trial. After the trial, membership continues as an auto-renewing subscription on the billing period you choose: $45.99 per year (USD) or $5.99 per month (USD), or the local-currency equivalent shown at checkout. Both options include the same family membership access. Your subscription automatically renews at the then-current price at the end of each billing period until you cancel. You may cancel at any time; access continues through the end of the current paid period.

Billing, cancellation, and refunds are handled by the store where you purchased:

Refunds are governed by the policies of the platform where you subscribed. We do not process refunds directly for purchases made through Apple or Google.

8. Data retention after cancellation

If you do not subscribe after your free trial, or if your subscription lapses, your account enters read-only mode. You will retain view and export access during a 30-day grace period, after which your account and uploaded documents may be permanently deleted. This policy is described in more detail in our Privacy Policy and exists to protect sensitive children's educational records.

9. Service availability

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free performance. The Service is provided "as is" and, to the fullest extent permitted by law, we disclaim all implied warranties (including merchantability and fitness for a particular purpose).

10. Disclaimer — not legal, educational, or medical advice; AI features

Let's Talk IEP is an organizational tool for parents and caregivers. It is not a substitute for professional legal, educational, medical, or therapeutic advice. Content, templates, checklists, letters, and any AI-assisted suggestions in the Service — including current or future features such as an AI-powered IEP Coach, AI document summaries, or planning assistance — are provided for general informational and organizational purposes only. AI output may be incomplete or inaccurate. You are responsible for reviewing any output before sharing or acting on it, and for consulting a qualified attorney, advocate, physician, or specialist regarding your child's specific situation. We make no guarantees about IEP or educational outcomes.

11. Future features and roadmap

The Service is continuously evolving. Future versions may include, without limitation: an AI-powered IEP Coach, AI document summaries, progress and goal tracking, milestones and observations logs, educational planning assistance, IFSP (Individualized Family Service Plan) support, additional organizational tools, and support for multiple languages. These Terms apply to all such features when they are released. New features may be offered as part of your existing subscription or as optional add-ons; any material pricing change will be communicated in advance. All AI-assisted features remain informational only under Section 10.

12. Suspension and termination

We may suspend or terminate your access to the Service for: (a) material breach of these Terms, (b) non-payment, (c) suspected fraud or security risk, or (d) repeated or serious policy violations. You may cancel your membership at any time via the store you purchased through (Apple, Google) or the customer portal (Paddle). On termination, you may export Your Content during the grace period described in Section 8 before it is deleted.

13. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service will not exceed the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these Terms limits liability for fraud, death, or personal injury where the law does not allow such limits.

14. Indemnification

You agree to indemnify and hold us harmless from claims arising out of Your Content, your unlawful use of the Service, or your breach of these Terms.

15. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Florida.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.
